The organizer of the Promotion is Kickbase GmbH, a German limited-liability company, having its principal place of business at Pariser Straße 25, 81667 Munich, Germany (the "Organizer").

The Promotion runs during the MLS Season 2026, commencing on February 21, 2026 and concluding on November 7, 2026 (the “Promotion Period”). MLS regular season matches will pause in connection with the FIFA World Cup 2026 following matches played on May 24, 2026, and league play will resume on July 16, 2026, in accordance with the official MLS match schedule.

Participation opportunities in the Promotion are tied to designated matchweeks during the Promotion Period. For each applicable matchweek, all participation actions must be completed prior to the scheduled kickoff time of the first official MLS match of that matchweek, as published in the official MLS match schedule.

The official MLS match schedule, as published by MLS, shall be the sole reference for determining the applicable dates and kickoff times for all matches and matchweeks.

The total aggregate value of prizes awarded in connection with the Promotion during the Promotion Period shall not exceed USD 5,000.

To participate, individuals must hold a valid Kickbase app user account ("Kickbase Account"). Participants must join the "MLS Matchweek Challenge" within the Kickbase app and create a team consisting of eleven (11) or six (6) real MLS players. Matchweek scores are calculated based on real-world match events and statistics.

Single Account Rule: Each individual may participate only once per matchweek using a single Kickbase Account. The creation or use of multiple accounts to gain an advantage constitutes a violation of these Terms. The Organizer may disqualify any participant and all associated accounts at its discretion.

NO PURCHASE NECESSARY: Participation is free of charge and does not require the purchase of any goods or services. Standard data or transmission charges imposed by the participant’s internet or mobile provider may apply.

NO ADVANTAGE FOR PAID OR PREMIUM USERS: Participation in any paid subscription, premium membership, or paid feature offered by Kickbase does not increase a participant’s chances of winning. Paid users receive no advantage with respect to scoring, ranking, tie-breakers, prize selection, prize value, or prize distribution.

Participation is open only to natural persons who are legal residents of the United States, Canada or Germany, and who are at least sixteen (16) years of age at the time of entry and have a valid Kickbase Account. Participants who are under eighteen (18) years of age are considered minors. Any minor eligible and selected as a potential winner may accept a prize only with the prior written consent of a parent or legal guardian. As a condition to prize award, the parent or legal guardian may be required to execute any required releases, affidavits, and tax forms on behalf of the minor. Prizes awarded to minors shall be fulfilled either to the parent or legal guardian, or to the minor with valid parental or legal guardian consent, as determined by the Organizer.

By permitting an eligible minor to participate in the Promotion, the parent or legal guardian of such minor acknowledges and agrees that acceptance of these Terms and any prize-related documentation by the minor constitutes acceptance on behalf of the minor, subject to the Organizer’s right to require separate written parental or legal guardian consent as a condition to prize award, including with respect to any disclosures, filings, or reporting required by applicable law in connection with the prize.

Participation is void where prohibited or restricted by law. Residents of certain states may be excluded due to local legal requirements.

Employees of the Organizer, its affiliates, as well as their immediate family members and household members, Major League Soccer, L.L.C. (“MLS”), Soccer United Marketing, LLC (“SUM”), Pro Soccer Development, LP (“MLSNP”), Player Development, LLC (“PDEV” and together with MLS, SUM, and MLSNP, collectively, the “SUM Entities”), are not eligible to participate.

The Promotion constitutes a game of chance. Winners are determined based on the outcomes of real-world sporting events and other future contingent events that are outside the control or influence of participants and the Organizer. Participants have no ability to influence the performance of selected players or match outcomes.

Although participant decisions, such as team selection, may affect scoring mechanics, the outcome of the Promotion depends in a material degree on chance within the meaning of applicable U.S. state law.

A. Matchweek Prizes

For each matchweek, prizes are awarded as follows:

1st Place: USD 100.00 cash prize

2nd Place: Three (3) months Kickbase membership; Approximate retail value: USD 29.97

3rd Place: One (1) month Kickbase membership; Approximate retail value: USD 9.99

Total Approximate retail value: USD 139.96

Approximate retail value for non-cash prizes is determined in good faith based on reasonably available retail pricing.

Currency of Prize Fulfillment

All prizes are awarded based on their U.S. Dollar (USD) value. If any prize is fulfilled in Euros (EUR) or another currency, the amount shall be calculated based on the prevailing market exchange rate on the date of payment or fulfillment.

B. Ranking and Tie-Breakers

Participants are ranked based on matchweek scores. If two or more participants achieve the same score, ranking is determined by predefined objective criteria, such as lower team value. If a tie remains unresolved, ranking among tied participants will be determined by a random draw conducted by the Organizer. The Organizer’s determinations are final and binding.

C. Regulatory Disclosure and Verification

As a condition of receiving any prize, a potential winner may be required to provide the Organizer with all information reasonably necessary to verify eligibility and to comply with applicable legal, regulatory, and tax requirements.

Such information may include, without limitation, the winner’s full legal name, residential address, state of residence, date of birth or age confirmation, government-issued identification (ID verification), payment details, and tax identification information (including IRS Form W-9 where required).

The Organizer may disclose such information to governmental authorities, regulators, and tax authorities to the extent required by applicable law, including but not limited to sweepstakes registration, bonding, reporting, and tax reporting obligations in the United States.

Failure or refusal to timely provide the requested information, or providing false or misleading information, may result in disqualification and forfeiture of the prize.

For the avoidance of doubt, any disclosure of personal data pursuant to this Section is made solely for purposes of legal compliance and prize fulfillment and does not constitute consent to public disclosure or marketing use beyond what is expressly stated elsewhere in these Terms.

Winners will be notified via the email address associated with their Kickbase Account.

Prizes are non-transferable and may not be exchanged. Cash prizes are paid by bank transfer. Physical prizes are shipped by mail. Digital prizes are delivered electronically.

If a winner does not respond, refuses the offered prize, does not accept the available payment or delivery method, or fails to provide requested verification or payment information within the requested timeframe, the winner shall forfeit the prize and no substitute winner or next-ranked participant shall receive it.

If a winner fails to respond within three (3) weeks after two reminders, the prize shall be deemed forfeited and no substitute winner shall be selected.

Winners are solely responsible for all applicable federal, state, and local taxes. Prizes with a value of USD 600 or more may be reported to the Internal Revenue Service. Winners must provide required tax documentation, including IRS Form W-9 if applicable, as a condition to receiving the prize.

The Organizer reserves the right to suspend, modify, or cancel the Promotion if technical, legal, or other circumstances compromise its integrity or lawful operation. Any such action will be taken in a manner intended to be fair and compliant with applicable law.

This Promotion is not sponsored, endorsed, administered by, or associated with Meta Platforms, Inc. (Facebook/Instagram), X Corp., Google, or other third-party platforms, and their respective affiliates.

The SUM Entities are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion. All trademarks used are the property of their respective owner(s) and are used for prize description purposes only.

Personal data is processed for purposes of administering the Promotion, awarding prizes, complying with applicable legal obligations, and maintaining required records. In addition, personal data of participants who are not minors may be shared with third parties for the additional purposes described in the Organizer’s Privacy Policy, to the extent permitted by applicable law. Personal data of minors is processed solely for Promotion administration, prize fulfillment, and legal compliance.

By accepting a prize, winners who are eighteen (18) years of age or older consent for Organizer and the SUM Entities to use their Kickbase username for promotional purposes, unless prohibited by law. In the case of winners who are minors, such publication shall occur only with the prior written consent of a parent or legal guardian, if and to the extent required by applicable law.

FOR PURPOSES OF THESE TERMS, “RELEASED PARTIES” MEANS THE ORGANIZER, THE SUM ENTITIES, AND EACH OF THEIR RESPECTIVE PARENTS, AFFILIATED COMPANIES, SUBSIDIARIES, LICENSEES, DISTRIBUTORS, DEALERS, RETAILERS, PRINTERS, ADVERTISING AND PROMOTION AGENCIES, AND ANY OTHER ENTITIES ASSOCIATED WITH THE PROMOTION, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTICIPANTS AGREE TO RELEASE AND HOLD HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, LOSSES, LIABILITIES, ARISING OUT OF OR RELATING TO PARTICIPATION IN THE PROMOTION, THE ADMINISTRATION OF THE PROMOTION, OR THE ACCEPTANCE, USE, OR MISUSE OF ANY PRIZE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION.

PARTICIPANTS AGREE TO INDEMNIFY THE RELEASED PARTIES AGAINST CLAIMS ARISING FROM A PARTICIPANT’S VIOLATION OF THESE TERMS OR APPLICABLE LAW.

A. Governing Law

This Competition and these Terms shall be governed by and construed in accordance with the federal laws of the United States and the laws of the State of New York, without regard to conflict of laws principles.

B. Optional Arbitration (Election by Organizer)

At the Organizer’s election, any dispute, claim, or controversy arising out of or relating to the Competition or these Terms may be resolved by binding arbitration on an individual basis, administered by a recognized arbitration provider in accordance with its applicable rules. If the Organizer elects arbitration, the arbitration shall take place in New York, New York, unless otherwise agreed by the parties.

C. Court Proceedings

If arbitration is not elected by the Organizer, disputes shall be resolved before the state or federal courts located within the State of New York, which shall have non-exclusive jurisdiction. Nothing herein shall prevent the Organizer from seeking injunctive or equitable relief in any competent jurisdiction.

D. Regulatory Authority

Nothing in these Terms shall be construed to limit, waive, or exclude the authority of any governmental or regulatory body to enforce applicable laws or regulations, including consumer protection, sweepstakes, gambling, or promotional laws.

E. Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable for any reason, such provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
